1. Agreement to Terms

By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Alertamo ("Company," "we," "us," or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

2. Service Description

Alertamo provides market intelligence and research services for contractors and service providers in the Austin metropolitan area. Our Services include:

• Permit Intelligence Reports: Customized analysis of building permit data based on your business parameters
• Competitive Analysis: Monitoring and analysis of competitor permit activity
• Geographic Market Insights: Heat mapping and territorial analysis identifying high-demand areas
• Data Exports: CSV databases containing permit information for CRM integration and marketing use
• Research Library: Access to market research articles and industry analysis

Services are provided on a subscription basis. Contractor tier subscribers receive:

• Access to weekly-updated permit data and on-demand report generation
• Market intelligence and competitive analysis tools
• Biweekly 15-minute strategy calls with market insights

Basic and Premium tier subscribers receive property search access and permit data with varying levels of search capabilities, downloads, and geographic tracking features.

3. Account Registration & Eligibility

To access our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription & Billing

4.1 Subscription Tiers

We offer three subscription tiers:

• Subscriptions are billed in advance at the beginning of the subscription period
• Payment is processed securely through our third-party payment processor (Stripe)
• All fees are in U.S. Dollars (USD)
• You authorize us to charge your payment method for all fees associated with your subscription
• Failure to pay may result in suspension or termination of your account

4.3 Automatic Renewal

All subscriptions renew automatically on a monthly or annual basis (depending on your plan) until you cancel. You can cancel anytime from your billing dashboard - cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

4.4 Taxes

Prices do not include applicable sales, use, or other taxes. You are responsible for paying all such taxes except those based on our net income.

5. Refund & Cancellation Policy

By subscribing and accessing our Services, you acknowledge that you are purchasing access to a digital platform and agree that refunds are not available once you have logged in to your account.

Cancellation Terms:

• You may cancel your subscription at any time by contacting us at contact@alertamo.com or through your billing dashboard
• Upon cancellation, you will retain access to Services through the end of your paid subscription period
• No refunds will be provided for unused time in the current subscription period
• Upon subscription expiration or cancellation, you may lose access to generated reports and historical data

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services, including all content, features, functionality, software, algorithms, analysis methodologies, and research frameworks are owned by Alertamo and are protected by copyright, trademark, and other intellectual property laws.

6.2 License to Use Reports

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the reports and data generated for your account for your internal business purposes only.

6.3 Restrictions

You may NOT:

• Reproduce, distribute, sell, or resell our reports, data, or Services
• Share your account credentials or reports with third parties
• Reverse engineer, decompile, or disassemble any part of our Services
• Remove or modify any proprietary notices or labels
• Use our Services to create competing products or services

7. Acceptable Use Policy

You agree NOT to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading practices
• Transmit viruses, malware, or other malicious code
• Attempt unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Scrape, spider, or crawl the Services using automated means
• Use data obtained from our Services for illegal telemarketing or spam
• Harass, threaten, or harm others

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

8.1 Service Availability

We strive to maintain continuous availability of our Services but do not guarantee uninterrupted or error-free operation. We may suspend or restrict access to the Services for maintenance, updates, or other reasons without prior notice.

You acknowledge that your use of the Services and reliance on any reports or data is at your sole risk and discretion. Business decisions based on our intelligence reports should be made with independent verification and professional judgment.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERMITIQ AUSTIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Alertamo, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Services
• Your business activities or decisions based on our reports

11. Termination

By You: You may terminate your account at any time by contacting us. Termination will be effective at the end of your current subscription period.

By Us: We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Behavior that harms other users or our business
• Extended periods of inactivity

Upon termination, your right to access and use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitation of liability, and indemnification) will survive termination.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising out of or related to these Terms or the Services shall be resolved through:

1. Informal Negotiation: Contact us at contact@alertamo.com to attempt good-faith resolution
2. Mediation: If informal negotiation fails, parties agree to mediation before pursuing litigation
3. Jurisdiction: Any legal action must be brought in the state or federal courts located in Travis County, Texas

12.3 Waiver of Class Actions

You agree to resolve any disputes with us on an individual basis and waive any right to bring claims as part of a class action, consolidated action, or representative action.
